第二條 車輛價(jià)款、過戶手續(xù)費(fèi)及支付時(shí)間、方式

1、車輛價(jià)款及過戶手續(xù)費(fèi)

第三條 定金

第四條 車輛的過戶、交付及風(fēng)險(xiǎn)負(fù)擔(dān)

1、雙方可以選擇下列第 種方式辦理車輛的過戶手續(xù)：

(1)由賣方辦理過戶手續(xù)的，買方應(yīng)于本合同簽訂之日起 個(gè)工作日內(nèi)，將辦理本車過戶、轉(zhuǎn)籍手續(xù)所需的一切有關(guān)證件、資料的原件及復(fù)印件交給賣方。

(2)由買方辦理過戶手續(xù)的，賣方應(yīng)于本合同簽訂之日起 個(gè)工作日內(nèi)，將辦理本車過戶、轉(zhuǎn)籍手續(xù)所需的一切有關(guān)證件、資料的原件及復(fù)印件交給買方。

(3)雙方委托第三方辦理的，買賣雙方應(yīng)于本合同簽訂之日起 個(gè)工作日內(nèi)，將辦理本車過戶、轉(zhuǎn)籍手續(xù)所需的一切有關(guān)證件、資料的原件及復(fù)印件交給該第三方。

2、賣方應(yīng)于交易車輛過戶、轉(zhuǎn)籍手續(xù)辦理完成的當(dāng)日向買方交付車輛及相關(guān)憑證。如是由第三方代為辦理車輛過戶手續(xù)的，該第三方應(yīng)于交易車輛過戶、轉(zhuǎn)籍手續(xù)辦理完成的當(dāng)日向買方交付相關(guān)憑證。

3、車輛毀損、滅失的風(fēng)險(xiǎn)，在車輛登記過戶給買方之前，由賣方承擔(dān);在輛登記過戶給買方之后，由買方承擔(dān)。

本條所指風(fēng)險(xiǎn)負(fù)擔(dān)是指交易的二手車輛因不可歸責(zé)于買賣雙方當(dāng)事人的事由，發(fā)生毀損滅失的損失應(yīng)由哪一方負(fù)擔(dān)。

4、車輛發(fā)生交通事故、交通違章等造成的經(jīng)濟(jì)損失以及產(chǎn)生的車輛維修費(fèi)用自買方提車之時(shí)起，由買方承擔(dān)。但是提車之前產(chǎn)生的交通事故、交通違章等造成的經(jīng)濟(jì)損失以及產(chǎn)生的車輛維修費(fèi)用由賣方承擔(dān)。

第五條 買賣雙方的權(quán)利和義務(wù)

1、買方應(yīng)當(dāng)按照約定支付價(jià)款，賣方應(yīng)當(dāng)按照約定向買方交付車輛及相關(guān)憑證。 2、賣方應(yīng)當(dāng)保證合法享有車輛的所有權(quán)或處臵權(quán)，同時(shí)賣方還應(yīng)當(dāng)保證其向買方出示及提供的與車輛有關(guān)的一切證件、證明及信息合法、真實(shí)、有效。

3、賣方應(yīng)向買方充分披露車輛的質(zhì)量狀況，對(duì)于車輛出現(xiàn)的質(zhì)量瑕疵不得隱瞞。賣方屬二手車經(jīng)銷企業(yè)的，應(yīng)向買方提供質(zhì)量保證及售后服務(wù)承諾，并提供售后服務(wù)清單，不得擅自增加未經(jīng)買方同意的服務(wù)項(xiàng)目。

4、賣方屬二手車經(jīng)銷企業(yè)的，在將二手車銷售給買方之前必須對(duì)車輛進(jìn)行檢測和整備，使車輛能夠達(dá)到安全使用要求。

5、賣方屬二手車經(jīng)銷企業(yè)的，如果車輛使用年限在3年以內(nèi)或行駛里程在6萬公里以內(nèi)的車輛(以先到者為準(zhǔn)，營運(yùn)車除外)，應(yīng)向用戶提供不少于3個(gè)月或5000公里(以先到者為準(zhǔn))的質(zhì)量保證。質(zhì)量保證范圍為發(fā)動(dòng)機(jī)系統(tǒng)、轉(zhuǎn)向系統(tǒng)、傳動(dòng)系統(tǒng)、制動(dòng)系統(tǒng)、懸掛系統(tǒng)等。

第六條 合同的解除

有下列情形之一的，當(dāng)事人可以解除合同：

1、當(dāng)事人就解除合同協(xié)商一致; 2、因不可抗力致使合同目的無法實(shí)現(xiàn);

3、在合同履行之前，買賣當(dāng)事人一方明確表示或者以自己的行為表明不履行主要義務(wù); 4、買賣當(dāng)事人一方遲延履行主要義務(wù)，經(jīng)催告后在合理期限內(nèi)仍未履行; 5、買賣當(dāng)事人一方遲延履行主要義務(wù)或有其他違約行為致使不能實(shí)現(xiàn)合同目的。 合同解除不影響當(dāng)事人要求賠償損失的權(quán)利。

第七條 違約責(zé)任

1、賣方向買方提供的車輛如果存在權(quán)利瑕疵或者影響安全使用的質(zhì)量瑕疵，買方有權(quán)要求解除合同，并有權(quán)要求賣方賠償因此而造成的損失。

2、賣方未按合同的約定將本車及其相關(guān)憑證交付買方的，逾期每日按本車價(jià)款總額的 %向買方支付違約金。

3、買方未按照合同約定支付本車價(jià)款的，逾期每日按本車價(jià)款總額 %向賣方支付違約金。

4、因賣方原因致使車輛不能辦理過戶、轉(zhuǎn)籍手續(xù)的，買方有權(quán)要求解除合同，并有權(quán)要求賣方賠償因此而造成的損失。

17.索賠

18.延期交貨違約金

late delivery and penalty

除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計(jì)算的違約金即付買方。

if the sellers fail to make delivery on time as stipulated in the contract , with exception of force majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty , however , shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days , if less that seven days. in case , the payment is not made through l/c , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及

force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

20.爭議之解決方式：

disputes settlement :

□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

21.法律適用

law application :

本合同之簽訂地、或發(fā)生爭議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。
